Nexus Events Terms & Conditions For Performing Artists:

1. Introduction Welcome to Nexus Events, a division of AXB Tech. By participating in Nexus Events, including but not limited to live performances, virtual events, promotional activities, and merchandise sales, you agree to abide by these Terms & Conditions. These terms apply to all artists, bands, performers, and affiliates involved in Nexus Events.

2. Nexus Events & AXB Tech Association Nexus Events is an event management and promotion platform under AXB Tech, a company dedicated to supporting musicians, artists, and creatives through various services, including event organization, merchandise management, and online community building. As part of AXB Tech, Nexus Events integrates with other AXB Tech services such as VertMerch and AXB Nexus, offering artists opportunities to enhance their visibility, revenue, and fan engagement.

3. Eligibility To participate in Nexus Events, you must be at least 18 years old or have parental/guardian consent if under 18. All participants must provide accurate and complete information during the registration process. AXB Tech reserves the right to verify the information provided and deny participation if the information is found to be false or misleading.

4. Event Participation

  • Performance Agreement: By registering for Nexus Events, you agree to perform on the agreed-upon dates and times. You are responsible for your own travel and accommodation unless otherwise specified by Nexus Events.

  • Promotion: Artists may be required to participate in promotional activities such as interviews, social media campaigns, or other marketing efforts as part of their involvement with Nexus Events.

  • Special Requirements: Any special requirements for your performance must be disclosed during the registration process. Nexus Events will make reasonable efforts to accommodate such requests but cannot guarantee that all requests will be met.

5. Merchandise Sales

  • VertMerch Integration: Nexus Events participants have the option to sell merchandise through VertMerch, a service provided by AXB Tech. Artists may choose between free and paid service tiers, with corresponding features and benefits.

  • Revenue Share: Nexus Events and VertMerch operate on a revenue-sharing model. Artists will receive a percentage of sales generated through their affiliate links, both online and at live events. The specific revenue share percentage will be communicated separately and may vary based on the event or service tier.

  • Merchandise Availability: Artists are responsible for providing the necessary inventory for in-person and online sales. Nexus Events and VertMerch are not liable for any loss or damage to merchandise during transit or at the event venue.

6. Affiliate Program

  • Enrollment: Artists may choose to enroll in the Nexus Events Affiliate Program, which allows them to earn commissions on ticket sales, merchandise, and other event-related products sold through their unique affiliate links.

  • Affiliate Responsibilities: Affiliates must adhere to the guidelines provided by Nexus Events, including but not limited to promotional content, branding, and communication standards. Failure to comply with these guidelines may result in termination from the program.

7. Revenue & Payments

  • Payment Terms: Payments for ticket sales, affiliate commissions, and merchandise sales will be processed according to the schedule provided by Nexus Events. Payments will be made via the payment method specified during registration.

  • Tax Obligations: Artists and affiliates are responsible for their own tax obligations related to income earned through Nexus Events. AXB Tech will provide necessary documentation for tax purposes but will not withhold taxes on behalf of participants.

8. Intellectual Property

  • Content Ownership: Artists retain ownership of their original content, including music, performances, and merchandise designs. By participating in Nexus Events, artists grant AXB Tech a non-exclusive, royalty-free license to use, reproduce, and distribute content for promotional and event-related purposes.

  • Branding: The Nexus Events and AXB Tech logos and branding materials are the exclusive property of AXB Tech. Artists and affiliates may use these materials only with prior written consent and in accordance with branding guidelines.

9. Cancellation & Refunds

  • Event Cancellation: Nexus Events reserves the right to cancel or reschedule events due to unforeseen circumstances. In such cases, artists will be notified promptly, and any related payments or deposits will be refunded or credited toward a future event.

  • Artist Cancellation: If an artist needs to cancel their participation, they must notify Nexus Events as soon as possible. Refunds or rescheduling will be handled on a case-by-case basis, and a cancellation fee may apply.

10. Liability & Indemnification

  • Liability: AXB Tech and Nexus Events are not liable for any injury, loss, or damage sustained by artists, affiliates, or third parties during participation in Nexus Events. Participants are responsible for their own insurance coverage and liability protection.

  • Indemnification: By participating in Nexus Events, artists and affiliates agree to indemnify and hold harmless AXB Tech, its employees, agents, and partners from any claims, damages, or expenses arising from their participation in events or related activities.

11. Privacy & Data Protection

  • Data Collection: Nexus Events collects and processes personal data provided during registration in accordance with AXB Tech's Privacy Policy. This data may be used for event management, communication, and promotional purposes.

  • Data Sharing: Personal data may be shared with third-party service providers for the purpose of event execution and payment processing. AXB Tech will not sell or share personal data with unauthorized parties.

12. Amendments Nexus Events reserves the right to amend these Terms & Conditions at any time. Participants will be notified of any significant changes, and continued participation in Nexus Events constitutes acceptance of the amended terms.

13. Governing Law These Terms & Conditions are governed by the laws of the State of Hawaii. Any disputes arising from these terms will be resolved in the courts of Honolulu, Hawaii.
